Residents’ Management Companies and RTM companies are subject to the same rules and regulations as all other limited companies. With corporate-based challenges from members on the increase, it is important that managing agents are familiar with company law basics. At the request of members, ARMA has designed an interactive workshop focusing on the fundamentals of company law for management companies and troubleshooting some of the most common issues and challenges that managing agents face.
Course Contents
This highly interactive workshop will cover the following issues:
- Shares or guarantee: what are the differences?
- Reviewing, understanding and implementing the memorandum and articles of association of a company
- General meetings (including how to deal with general meetings in lockdown)
- Ordinary and special resolutions: what are the differences and what additional requirements are there for special resolutions
- Are written resolutions a viable alternative?
- Appointment of directors
- Register of members: what are the requirements and what information should be recorded in the register (and for how long)
- Dealing with requests from members to inspect the register
- Dealing with requests from members to requisition a company meeting
- Understanding the criminal offences that might be committed by a company (and its officers.
